Keyey Terms of Service
DRAFT — not legal advice; must be reviewed by a qualified lawyer before publishing.
Drafting key (remove before publishing). [PLACEHOLDER: …] is a fact to fill in. [DECISION: …] is a choice for the owner; the text around it shows the suggested default. [LAWYER: …] is a question for counsel. This version describes the launch (docs/PUBLIC_PLAN.md, the decisions of 2026-10-26): one shared speech model for everyone, no personal voice training; Free dictates 2,000 words a week across the phone and the Mac (one allowance per account), and My words sync between phone and Mac on every plan; Keyey Pro sells unlimited dictation on both, one clipboard across phone and Mac, a bigger history and bigger backups.
Effective date: [PLACEHOLDER: date]
These terms are an agreement between you and [PLACEHOLDER: legal name, registered address] ("Keyey", "we", "us"). They cover the Keyey keyboard for Android, Keyey for Mac, and Keyey's online services: accounts, sync, backups and Keyey Pro. Our Privacy Policy explains how we handle your data. By using Keyey you agree to these terms. If you don't agree, please don't use Keyey.
Nothing in these terms takes away rights you have under consumer law where you live.
1. Who can use Keyey
You must be at least 13, or 16 if you live in the European Economic Area or another country that sets 16 as the age for consenting to online services [DECISION: 13 or 16; it must match the privacy policy §11 and Play's target audience]. If you're under 18, a parent or guardian must agree to these terms for you [LAWYER: confirm per country].

The free weekly limit. On the free plan you can dictate 2,000 words a week across your phone and Mac: voice typing in the Keyey keyboard and dictation in Keyey for Mac share one allowance for your Keyey account. Keyey Pro has no limit on either.
- What counts: the words of each dictation that's written, as it's written (after any tidying up): inserted where you're typing, or copied. On the Mac, the words of each file you transcribe count too. A dictation you cancel doesn't count.
- A rolling week: each word counts for 7 days from when you said it, so words come free again bit by bit, not on a set day. Keyey shows how many you've used and, once they're used up, when more come.
- Phone and Mac together: each device counts what's dictated on it and, while you're signed in, adds it to your account's total. Without an account, each device counts its own words against the same 2,000 a week. Signing in brings a device's last 7 days into your account, so signing in or out doesn't start the week over.
- At the limit: a dictation you've already started always finishes. The next one waits until words come free again, or until you get Keyey Pro. Typing, glide typing, Fix grammar and everything else keep working.
The keyboard and Keyey for Mac work without an account. You need one to sync, back up to the cloud or use Pro.
We keep improving Keyey, so features can change. If we remove a main Pro feature you've paid for, we'll tell you first, and you can cancel. [LAWYER: refund duty if a paid feature is removed]
3. Your account and your keys
- You sign in with Google or Apple. Keep your devices and sign-in secure. You're responsible for what happens under your account.
- Your pairing code and recovery key unlock your encrypted data. Anyone who has them can read your synced clipboard and backups, so keep them private. We never have your key, so if you lose every device and your recovery key, we can't recover your encrypted data.
- You can sign out a device or delete your account at any time.
4. Keyey Pro
Price and billing
- Pro costs US$4.99 a month [DECISION: also a yearly plan? a free trial?]. The price for your country, including any taxes, is shown before you pay.
- You buy Pro in the Android app, through Google Play, and Google Play's terms apply to the payment. It's the only way to buy Pro at launch.
- One Pro subscription covers your phone and your Mac, because both use the same Keyey account. Sign in to Keyey for Mac with the same account and its Pro features turn on.
- [DECISION: only if web checkout is switched on later for Mac-only customers:] You can also buy Pro on the web through
[Stripe / a merchant of record such as Paddle; see mac-notes.md]. If you subscribe on both Google Play and the web, you'll pay twice, so cancel one of them.
Automatic renewal
Pro renews automatically every month and you're charged each time until you cancel. If the price changes, we'll tell you in advance. Google Play or our checkout asks for your agreement when the law or the store requires it. If you don't accept a new price, you can cancel before it applies. [LAWYER: US state auto-renewal laws (e.g. California's Automatic Renewal Law, Bus. & Prof. Code § 17600 and following) and UK/EU rules on reminders and consent.]
Cancelling
- Google Play: Play Store › your profile › Payments & subscriptions › Subscriptions › Keyey › Cancel. You can also get there from Keyey's Pro screen (More › Keyey Pro › Manage subscription).
- Keyey for Mac shows your plan and explains that Pro is managed in Google Play.
[If web checkout is added:]Web: [PLACEHOLDER: "Manage subscription" in the Mac app or at keyey.app/account, which opens the billing portal].- When you cancel, Pro keeps working until the end of the period you've paid for, then your account moves to Free.
- Deleting your Keyey account doesn't cancel a Google Play subscription. Cancel it in Google Play.
What happens when Pro ends
- Dictation goes back to the free limit: 2,000 words a week across your phone and Mac.
- Your clipboard stops syncing between your phone and your Mac. Each device keeps its own history.
- The Mac's clipboard history goes back to the free size, 5,000 clips; older clips beyond it are removed [PLACEHOLDER: confirm the Mac trims the history when the cap drops].
- Your cloud clipboard goes back to the Free limits, and older clips beyond them are deleted.
- Backups over the Free allowance are deleted [DECISION: after N days' notice, so you can download them or resubscribe].
- Everything else keeps working: the keyboard, Fix grammar, My words syncing between your phone and Mac, and dictation on your phone and Mac up to the free limit.
5. Refunds
- Google Play purchases follow Google Play's refund policies. You can ask Google for a refund, and Google may grant one, especially soon after purchase. You can also ask us: [DECISION: our policy for Play refund requests].
[If web checkout is added:]Web purchases: [DECISION: e.g. "a full refund within 14 days of your first payment, no questions asked; after that, no refunds for part-used periods unless the law requires them"].- If you live in the UK or EU, you normally have 14 days to withdraw from an online purchase. Because Pro starts straight away, checkout asks you to agree to it starting immediately. [LAWYER: wording of the express request and acknowledgement, the proportionate amount payable, and the EU "withdrawal function" for online contracts (Directive (EU) 2023/2673, applying from 19 June 2026: verify).]
- Nothing here limits refunds you're entitled to by law.
6. Acceptable use
Use Keyey lawfully and fairly. In particular:
- Don't use Keyey to record or transcribe other people where the law requires their consent and you don't have it. That includes audio and video files you transcribe on the Mac.
- Don't store or sync illegal content, or content that infringes other people's rights.
- Don't try to get into other people's accounts or data, test or attack our servers, get around plan limits, overload the service, or scrape it.
- Don't copy, reverse-engineer or resell Keyey's apps or services, except as the law or an open-source licence allows (section 10).
- Don't use the service to collect speech data or build a dataset or a competing product.
We may suspend or close an account that breaks these rules, or that puts the service or other people at risk. Where we reasonably can, we'll tell you why first and give you a chance to fix it, and to export or delete your data.
7. Your content
- You own your content: what you type, copy, say and record, and your settings.
- You give us permission to store and transmit it only so we can provide Keyey: sync and backups. Most of it is end-to-end encrypted, so we can't read it.
- We don't use your content to train AI models. Your recordings never leave your devices.
8. AI output: check before you send
Keyey uses AI models for several features:
- speech recognition;
- next-word predictions and correction suggestions;
- Fix grammar and Smart dictation's tidy-up;
- on the Mac, polishing in modes and rewrites, on the Mac's own model or through Groq with your own key.
These models can make mistakes. They can mishear words, especially names, numbers and words in noisy places. They can suggest the wrong word, or change the meaning of what you wrote. Always check text before you send it, especially:
- messages to other people;
- numbers, money and dates;
- names;
- anything legal, medical, financial or safety-related.
Don't rely on Keyey in an emergency or where a mistake could cause harm.
If you use your own Groq key on the Mac, the request goes from your Mac to Groq, and your agreement with Groq covers it and its output. The Android app doesn't use Groq.
9. Other companies' services
Sign-in uses Google or Apple. Payments use Google Play [and, if web checkout is added, Stripe or a merchant of record]. On the Mac, optional polishing can use Groq with your own key, and the optional polish model downloads from Hugging Face. Each of these has its own terms. We're not responsible for their services, but we choose them carefully. See the Privacy Policy for what they handle.
10. Open-source software and model licences
Keyey is built on open-source software and openly licensed models. Their licences apply to those parts, and nothing in these terms limits the rights those licences give you. The full list is in each app's About screen [PLACEHOLDER: also on keyey.app/licences].
Speech model attribution (shown in About, and with the model download):
Keyey's speech recognition uses NVIDIA Parakeet TDT 0.6B v2 by NVIDIA Corporation (https://huggingface.co/nvidia/parakeet-tdt-0.6b-v2), licensed under the Creative Commons Attribution 4.0 International licence (CC BY 4.0), https://creativecommons.org/licenses/by/4.0/. The model was converted to ONNX and quantised to 8-bit by the sherpa-onnx project (k2-fsa) for on-device use. NVIDIA doesn't endorse Keyey. The model is provided "as is" under the licence's disclaimer. [PLACEHOLDER: copy any copyright notice exactly as it appears on NVIDIA's model card.]
That wording covers what CC BY 4.0 asks for: the creator, the licence and a link to it, a link to the model, and a note of changes (the sherpa-onnx conversion), with no suggestion of endorsement. [PLACEHOLDER: when Keyey Speech, our own fine-tune of Parakeet for technical words and newer names, ships (the compact model, then the full one), add to the note of changes: "Keyey fine-tuned the model and compressed it for phones."] [LAWYER: confirm the wording, and that our terms don't restrict recipients' rights to the Parakeet weights or our adaptation of them under CC BY 4.0 (Section 2(a)(5)(B), "No downstream restrictions"; Section 3(a)(4) for adapted material).]

[LAWYER/owner, not for publication: Keyey Speech's training data (PUBLIC_PLAN.md: jargon and newer words, with general English kept by replay) must be licensed for commercial use: check each source and any synthetic voices used to make it (earlier recipes used LibriSpeech and DEMAND, both CC BY 4.0, and "babble" from macOS system voices, which Apple's licence may not allow in a commercial pipeline). OmniVoice is CC-BY-NC and must never be in the product (PUBLIC_PLAN.md).]
11. Updates
- The Android app updates only through Google Play.
- Keyey for Mac updates through its built-in updater, with updates signed by us and notarised by Apple.
Some features need a recent version. We may stop supporting very old versions, for example when an old app can't read a newer backup format.
12. Changes to the service and to these terms
We may change these terms. For important changes, we'll tell you in the app or by email at least [PLACEHOLDER: 30] days before they apply. If you keep using Keyey after that, the new terms apply. If you don't agree, you can cancel and delete your account.
We may stop offering Keyey. If we do, we'll give you at least [PLACEHOLDER: 60] days' notice so you can export your data, and we'll refund any prepaid Pro time you haven't used.
13. Ending this agreement
You can stop using Keyey and delete your account at any time. We may end or suspend your access under section 6, or if the law requires it. When your account ends, we delete your data as the Privacy Policy describes.
14. Disclaimers
Keyey is provided "as is" and "as available". As far as the law allows, we don't promise that it will be error-free or always available, or that it will meet every need. Some countries don't allow these exclusions, so they may not apply to you. [LAWYER: UK/EU consumer statutory rights for digital content and services must be preserved.]
15. Limitation of liability
As far as the law allows:
- we're not liable for indirect or consequential losses, or for lost profits, data or business;
- our total liability to you for any claim is limited to the greater of the amount you paid us in the 12 months before the claim, or [PLACEHOLDER: e.g. US$50].
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow us to limit. [LAWYER: consumer-law limits per country.]
[LAWYER: whether to include a user indemnity at all. Usually not for consumers in the UK or EU.]
16. Governing law and disputes
[PLACEHOLDER: governing law, e.g. "the laws of England and Wales"] and [PLACEHOLDER: courts]. If you're a consumer, you can also bring a claim in the courts where you live, and you keep the protection of your local consumer laws. [LAWYER: whether to add an arbitration clause and class-action waiver for US users, and if so the opt-out window. Many consumer apps do; it's a policy choice.] Before any formal claim, please contact us. Most problems are sorted out faster that way.

Drafting notes (remove before publishing)
- The plan table: the owner's decisions of 2026-10-26 (docs/PUBLIC_PLAN.md, "The product" and "Free words, per account"): Free dictates 2,000 words a week across the phone and the Mac (one allowance per account) and syncs My words between phone and Mac; Pro ($4.99 a month through Google Play, unlocking the Mac with the same account) adds unlimited dictation on both, one clipboard across phone and Mac, the bigger history (50,000 clips) and bigger backups. The paywall (
ProPitchin src/public/…/ProScreen.kt), the Mac's account footer and onboarding, and store/play/listing.md say the same; the site is being redesigned separately and has to match. "New features first" is no longer sold.- The weekly limit, as built: counted in a rolling 7 days from what's written (inserted or copied, and on the Mac transcribed files), never from cancelled dictations; checked only before a dictation starts; per account through keyey-cloud's
/v2/usage/words(counts and times, never text); signed out, per device. Android: app/…/voice/DictationWords.kt,InputController.startVoice; Mac: mac/…/WordAllowance.swift; server: cloud/src/usage.ts. - The Mac's gating today: mac/README.md, "The public build" ("Pro: clipboard sync with the phone and a history of up to 50,000 clips; free keeps 5,000 on this Mac and syncs nothing. Dictation, modes, vocabulary and the AI settings work on any plan"), AccountController.swift (
setSyncBlocked,historyCap). - Retention and backups: PUBLIC_PLAN.md, "Per-user API" and "Payments and entitlements".
- The weekly limit, as built: counted in a rolling 7 days from what's written (inserted or copied, and on the Mac transcribed files), never from cancelled dictations; checked only before a dictation starts; per account through keyey-cloud's
- Before publishing: keyey-cloud (and with it the shared count) isn't deployed yet; until it is, signed-in devices count their own words only, as signed-out ones do.
- Play Billing (
keyey_pro_monthly), US$4.99 a month: PUBLIC_PLAN.md, "Payments and entitlements"; the price as the site (site/config.json) and the listing state it. Google Play is the only checkout at launch; Stripe or an MoR comes only if Mac-only customers appear. - Google Play's Subscriptions policy (ongoing value): every Pro feature at launch is ongoing (unlimited dictation on phone and Mac, the shared clipboard, the bigger history and backups), so the earlier worry about selling a one-time training run on a subscription no longer applies.
- Licences: PUBLIC_PLAN.md, "Licences"; the About screens; docs/LOCAL_POLISH.md (the grammar model); docs/SMART_PREDICTIONS.md (SmolLM2, SODA, oasst2); mac/Sources/KeyeyClipboardKit/LocalModel.swift (Gemma 4 from Hugging Face).
- Removed, because they don't apply at launch: Pro voice training (its consent, the 18+ age for it, one training run, the release gate, what happens when a model fails it, rights to the recordings and setup answers, ownership of personal models, "for your own voice only"), the "help improve Keyey" licence, and Groq on Android. They come back, with voice-training-consent.md, if personal models are switched on.
- Still open:
- [PLACEHOLDER]: effective date; legal entity and address; that support@keyey.app receives mail; keyey.app/licences; the Parakeet copyright notice; the attribution change when Keyey Speech ships; Gemma 4's licence; whether the Mac trims its history when Pro ends; the web billing portal (if added); notice periods (30 and 60 days); the liability cap; governing law and courts;
- [DECISION]: the minimum age; a yearly plan or free trial; the free weekly limit's details (how words are counted, when the week starts, files, what happens at the limit, whether it needs an account); notice before Pro backups are deleted; refunds for Play requests (and web purchases, if added); web checkout and its provider;
- [LAWYER]: parental consent per country; refund duty if a paid feature is removed; auto-renewal rules; EU/UK withdrawal wording; CC BY 4.0 wording and downstream rights; Keyey Speech's training data; consumer-law limits on disclaimers and liability; indemnity; arbitration.
